These Terms & Conditions ("Terms") govern your use of the Thriving Partner website and your enquiry, purchase or engagement with services provided by Thriving Partner, a brand operated by Mentor Connect Solutions, a sole proprietorship based in Pune, Maharashtra, India ("TP", "Thriving Partner", "we", "us", or "our").

The specific services, deliverables, timelines, fees and responsibilities applicable to a client engagement will be defined in the applicable proposal, quotation, order, statement of work or service agreement.

Scope of Services

TP provides services according to the scope agreed with the client in writing.

Unless expressly agreed otherwise, services do not include unlimited revisions, unlimited research, unlimited prospecting, unlimited outreach, guaranteed meetings, guaranteed sales opportunities, guaranteed revenue, or open-ended customisation.

Any additional work outside the agreed scope may require separate agreement and fees.

Website Use

You agree to use this website lawfully and responsibly.

You must not:

• Interfere with the operation or security of the website

• Use the website for unlawful or fraudulent purposes

Accordingly, TP does not guarantee:

• Deal closures

• Number of customers

• Number of opportunities

• Response rates

• Meeting volumes

• Conversion rates

• A particular return on investment

• Any specific business outcome

Where a specific deliverable or performance commitment is expressly agreed in writing, that commitment will be governed by the applicable client agreement.

Client Responsibilities

Clients are responsible for providing accurate and timely information reasonably required for delivery of the agreed services.

Clients are also responsible for:

• Providing accurate information about their business, products, services and target market

• Reviewing and approving relevant information, messaging or materials where approval is required

• Providing timely feedback and decisions necessary for delivery

• Ensuring that their products, services, claims and commercial practices comply with applicable laws

• Using any research, prospect information, messaging, outreach materials or other deliverables provided by TP lawfully and responsibly

• Ensuring that their own sales and marketing activities comply with applicable laws and platform rules

Delays caused by incomplete information, delayed approvals, unavailable client resources or other client-side dependencies may affect delivery timelines.

Lead Research and Prospect Data

Where lead research or prospect data is included in an agreed service:

TP aims to provide relevant information based on the agreed research criteria.

Business information can change over time, and TP cannot guarantee that every data point will remain accurate after delivery.

Clients are responsible for using any prospect information in accordance with applicable privacy, marketing, communications and anti-spam laws and applicable platform requirements.

TP does not guarantee that any prospect will respond, engage, become a customer or generate revenue.

Payments, Fees and Refunds

Fees, payment schedules and applicable commercial terms will be specified in the relevant proposal, quotation, invoice or service agreement.

A website enquiry or website visit does not create a service agreement or payment obligation.

Unless otherwise agreed in writing, work will commence after the required payment or other agreed commencement condition has been satisfied.

Refunds, cancellations and credits, where applicable, will be governed by the applicable client agreement or written commercial terms.

Where work has already commenced, fees relating to work already performed or committed may not be refundable, subject to the agreed terms and applicable law.

Intellectual Property

Unless otherwise agreed in writing:

• The Thriving Partner name, brand, website, original frameworks, methodologies, templates, designs, written content and other proprietary materials remain the property of Mentor Connect Solutions or its licensors.

• Clients receive the rights to use deliverables provided specifically for their engagement according to the agreed scope.

• Website content, sample Sales Motion Kits, sample frameworks and other public materials may not be reproduced, resold, redistributed or commercially exploited without written permission.

• Third-party materials remain subject to the rights of their respective owners.

Client-owned information and materials provided to TP remain the client's property, subject to any rights necessary for TP to perform the agreed services.

Confidentiality

Each party should protect confidential business information received from the other party in connection with a service engagement.

Confidential information should not be disclosed to third parties except where:

• Disclosure is authorised by the other party

• Disclosure is necessary to perform the agreed services

• Disclosure is required by law

• The information is already publicly available through no breach of confidentiality

Where a separate confidentiality or non-disclosure agreement is executed, that agreement will govern confidentiality obligations to the extent of any

Third-Party Platforms and Services

TP may use or integrate third-party platforms and services in delivering or supporting its services, including website hosting, forms, email, CRM, research, scheduling, communication or other business technology.

TP does not control third-party platforms and is not responsible for their availability, security, policies, changes, interruptions or performance.

Use of third-party platforms may also be subject to their respective terms and policies.

Limitation of Liability

To the maximum extent permitted by applicable law, TP will not be liable for indirect, incidental, special, consequential or loss-of-profit damages arising from the use of the website or services.

TP is not responsible for losses arising from:

• Client misuse of information or deliverables

• Third-party platform failures

• Changes in market conditions

• Buyer or prospect behaviour

• Events outside TP's reasonable control

• Failure to achieve an expected commercial outcome

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Where liability can lawfully be limited, TP's liability will be subject to the applicable service agreement and the maximum extent permitted by law.

Suspension or Termination

TP may suspend or restrict access to the website where reasonably necessary for security, misuse, unlawful activity or protection of its systems.

Client service engagements may be suspended or terminated according to the applicable service agreement or written commercial terms.

Termination does not affect rights or obligations that accrued before termination.

Governing Law and Jurisdiction

These Terms are governed by the laws of India.

Subject to any mandatory applicable law, courts having jurisdiction in Pune, Maharashtra, India will have jurisdiction over disputes arising from these Terms or the use of the website.

For client engagements, the applicable service agreement may contain additional dispute-resolution provisions.
